These Terms & Conditions apply to all members, trial participants, casual users and guests who access or use Satori Women’s Health Club facilities, equipment or services. By signing, accepting or otherwise agreeing to these Terms & Conditions, you agree to be bound by them whenever you access or use the Club.

1. Definitions

1.1 Satori Women’s Health Club, We or Us: Satori Women’s Health Club Pty Ltd.

1.2 Member or You: A member of Satori Women’s Health Club.

1.3 The Club: The members’ fitness club operated by Satori Women’s Health Club at Unley.

1.4 Credit or Credits: An allocation that entitles a Member to book and use an eligible service included in their Membership, such as Group Fitness, Reformer Pilates or Personal Training. Credits are issued in accordance with the Member’s Membership type and applicable service period.

2. Membership

2.1 By signing your Membership Agreement, you agree to comply with these Terms and Conditions.

2.2 You are only permitted to use the Club facilities and services included in your membership type and while your membership remains current and fully paid.

3. Membership type and duration

3.1 Periodic Agreements: A Periodic Agreement will continue on an ongoing basis until terminated by you or Satori Women’s Health Club in accordance with these Terms and Conditions. If you wish to cancel your Agreement, you must provide at least 14 days’ notice in accordance with Section 7.

3.2 Paid in Full Agreements: A Paid in Full Membership will remain in place until the expiry date recorded on your Membership Agreement, subject to any extension resulting from an approved membership suspension.

Paid in Full Memberships are non-refundable if you choose to cancel for convenience. Where a medical certificate confirms that you are unable to continue using your membership, a partial refund of the remaining term may be considered in consultation with the Club Manager.

4. Membership fees

4.1 Direct Debit Authority: By providing your bank account details and confirming payment, you agree to the applicable Direct Debit Request and Direct Debit Request Service Agreement and authorise Stripe Payments Australia Pty Ltd ACN 160 180 343, Direct Debit User ID 507156 (“Stripe”), to debit your nominated account through the Bulk Electronic Clearing System (BECS) on behalf of Satori Women’s Health Club for amounts separately communicated to you.

You certify that you are either the account holder or an authorised signatory on the nominated account.

4.2 Membership fees are billed fortnightly in advance, excluding Paid in Full Memberships.

4.3 All payments are final and non-refundable unless otherwise required by law. Disputed payments must be raised with us in writing within 14 days of the transaction. You agree to contact us to attempt to resolve any payment dispute before initiating a chargeback or payment reversal. Dishonour fees may apply to failed or declined payments.

4.4 Satori Women’s Health Club reserves the right to change membership fees. Members will be provided with a minimum of 14 days’ notice of any increase. If you do not accept the price change, you may cancel your membership without penalty.

5. Default and late payment

5.1 If a direct debit payment fails or your account falls into arrears, we may contact you regarding the outstanding amount. If you need to update your payment details, please contact Satori reception.

5.2 During any period in which membership fees remain unpaid, Satori Women’s Health Club may suspend your membership and deactivate your Club access until your account is brought up to date.

6. Suspension of membership

6.1 If you are unable to use the Club facilities due to illness, injury or travel, you may request to suspend your membership for a minimum of 2 weeks and a maximum of 3 months within any 12-month period.

7. Termination

7.1 A Periodic Agreement may be terminated by giving Satori Women’s Health Club at least 14 days’ notice.

A formal cancellation form must be completed and returned to Satori Women’s Health Club before the cancellation can be processed. Cancellation forms are available at reception or can be provided by email upon request.

Where the Agreement is paid by direct debit, the direct debit will cease when the cancellation takes effect and no further membership fees will be debited after this date.

Cancelling your direct debit instruction yourself is not sufficient and does not constitute notice of cancellation under this Agreement.

8. Club access

8.1 An access card and/or app access will be issued to you to access the Club. Your access is for your exclusive use and is not transferable.

Allowing another person to use your access card or app access may result in the immediate suspension or termination of your membership.

8.2 If your access card is lost or stolen, you must notify the Club as soon as possible so the card can be deactivated. A $20 replacement fee applies for a new access card.

9. Maintenance and Club access

9.1 The Club may temporarily close for periods of up to 2 weeks each year for maintenance or improvement works. Where practicable, members will be provided with reasonable notice of planned closures.

9.2 From time to time, male technicians, contractors or other workers may be required to enter the Club to perform maintenance or other necessary work. Where practicable, we will notify members via signage and/or our communication channels.

10. Safety and Club conduct

10.1 The Club is under 24-hour recorded video surveillance and member access is logged.

Guests must not be brought into the Club without prior authorisation. A breach of this requirement may result in a guest fee and/or suspension or termination of your membership.

10.2 You are responsible for wiping down equipment after use and returning weights and equipment to their designated storage areas.

10.3 You must use all equipment in a safe and appropriate manner. If you are unsure how to use any equipment, please seek assistance from a staff member or Personal Trainer before using it.

10.4 You are responsible for understanding how to operate the Club’s panic alarms and agree to use them only in an emergency. Improper use may result in a $60 charge.

10.5 Satori Women’s Health Club reserves the right to suspend or terminate a membership where a member's conduct creates safety, behavioural or other serious concerns. This includes, but is not limited to:

  • abusive, threatening or violent behaviour;

  • deliberate misuse or damage of equipment;

  • use or possession of illegal substances;

  • consumption of alcohol within the Club; and

  • smoking or vaping within the Club.

10.6 Members must read and comply with all health and safety notices displayed within the Club and follow instructions regarding the safe and proper use of fitness equipment.

10.7 Members under 18 years of age are not permitted to access the Club unaccompanied by their approved parent, guardian or adult when the Club is unstaffed.

10.8 Any personal property brought into Satori Women’s Health Club is brought onto the premises at the member's own risk.

11. Exercise attire

11.1 Suitable, clean and enclosed footwear must be worn while using the Club unless otherwise advised by a Satori fitness professional.

11.2 Appropriate exercise clothing must be worn at all times.

11.3 Shoes must not be worn on Reformer Pilates beds. Members are responsible for following all instructions relating to the safe use of Reformer Pilates equipment.

12. Personal Training

Personal Training may only be provided at the Club by trainers approved by Satori Women’s Health Club.

12.1 If your Personal Trainer is unavailable due to illness, leave or other circumstances, we may arrange for another approved trainer to provide your session.

12.2 If your Personal Trainer no longer works at Satori Women’s Health Club, we may assign another trainer to you. You may request to change your trainer at any time by speaking with reception.

12.3 More than 8 hours’ notice must be provided to cancel or reschedule a Personal Training session without forfeiting the session.

Where less than 8 hours’ notice is provided, the session will be charged or the applicable session credit forfeited unless otherwise approved.

13. Photography and filming

13.1 Photography and filming may take place at Satori Women’s Health Club from time to time for marketing and promotional purposes. Images or footage may be used across channels including our website, social media and other promotional materials.

If you do not wish to appear in photography or filming used for promotional purposes, please advise a member of staff.

14. Using our Club and liability

14.1 Your use of Satori Women’s Health Club facilities and services is subject to your Membership Agreement and these Terms and Conditions.

14.2 Australian Consumer Law: Under the Australian Consumer Law (ACL), we guarantee that the services we supply are:

  • provided with due care and skill;

  • reasonably fit for any purpose you have told us you are using the services for, or any result you have told us you wish to achieve; and

  • supplied within a reasonable time where no time is otherwise specified.

Under certain legislative provisions, we may ask you to accept limitations to these guarantees.

To the extent permitted by section 139A of the Competition and Consumer Act 2010 (Cth), you agree to exclude or modify our liability for death or personal injury resulting from a failure to comply with applicable consumer guarantees in relation to recreational services.

This exclusion does not apply where death or injury results from “reckless conduct” as defined by the Competition and Consumer Act 2010 (Cth).

In South Australia, additional requirements may apply to the exclusion or modification of liability for recreational services.

Except where prohibited by law, all other implied terms, conditions, warranties, guarantees, rights or remedies that may lawfully be excluded are excluded.

15. Waiver and acknowledgement of risk

15.1 You acknowledge that participation in exercise and use of fitness facilities involves inherent risks.

To the extent permitted by law, you participate in activities and use the Club's facilities and equipment at your own risk and accept responsibility for ensuring that the activities you undertake are appropriate for you.

Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

16. Changes to these Terms and Conditions

15.1 We may update these Terms and Conditions from time to time where reasonably necessary to reflect changes to our services, operations, policies or legal requirements.

15.2 Where a change materially affects your membership, rights or obligations, we will provide at least 2 weeks’ written notice before the change takes effect.

15.3 The current version of these Terms and Conditions will always be available on the Satori Women’s Health Club website.
